Artists sue auction houses over royalties law

LOS ANGELES Famed New York painter Chuck Close and other artists are suing Sotheby’s, Christie’s and eBay, contending the auctioneers willfully violated a California law requiring royalty payments on sales of their works.

The lawsuits contend the auctioneers engaged in a “pattern of conduct” intended to conceal that the sale or seller was in California.

The Los Angeles Daily Journal first reported some of the suits.

“Although Christie’s has yet to be served with the complaint, it views the California Resale Royalties Act as subject to serious legal challenges. Christie’s looks forward to addressing these issues in court,” the company said in a statement.

The 1977 California Resale Royalties Act grants artists or their estates 5 percent of the proceeds from resale of their works if the sale is made in California or the seller is a resident. The law applies only to original paintings, drawings, sculpture or glasswork by living artists or those who have been dead for less than 20 years.

The three federal suits filed Tuesday seek class-action status to represent many other artists and demand unspecified royalties and damages which could total hundreds of thousands of dollars given current art prices.

“We believe that we have meaningful defenses to the claims asserted and they will be vigorously defended,” Sotheby’s said in a statement Thursday.

An email seeking comment from eBay was not immediately returned.

The suits were filed on behalf of Close best known for his enormous photorealistic paintings along with Los Angeles artist Laddie John Dill, and the estate of late sculptor Robert Graham. Graham’s works include the ceremonial gate for the Los Angeles Memorial Coliseum that was commissioned for the 1984 Olympics and features nude statues modeled on some of the athletes.

A foundation of late California painter Sam Francis also is named as a plaintiff in the suits against Christie’s and eBay Inc.

Kodak files for Ch. 11 bankruptcy protection

ROCHESTER, N.Y. Photography icon Eastman Kodak has filed for Chapter 11 bankruptcy protection, as it seeks to boost its cash position and stay in business.

The move comes as the ailing company has failed to find a buyer for its trove of 1,100 digital imaging patents. Kodak said in November that it could run out of cash in a year if it didn’t sell the patents, for which it hoped to fetch billions.

Eastman Kodak Co. said early Thursday that it has secured $950 million in financing from Citigroup Inc., and expects to be able to operate its business during bankruptcy reorganization and pay employees. The Rochester, N.Y.-based company, which was pummeled by foreign competition and then severely shaken by the digital revolution, has invested huge sums in new lines of inkjet printers that are finally on the verge of turning a profit.

CEO Antonio Perez said in a statement that the bankruptcy filing is “a necessary step and the right thing to do for the future of Kodak.”

The company and its board are being advised by Lazard, FTI Consulting Inc. and Sullivan & Cromwell LLP. Dominic DiNapoli, vice chairman of FTI Consulting, will serve as chief restructuring officer. Kodak expects to complete its U.S.-based restructuring during 2013.

On its website, Kodak assured customers that the nearly $1 billion in debtor-in-possession financing would be sufficient to pay vendors, suppliers and other business partners in full for goods and services going forward. The bankruptcy filing in the Southern District of New York does not involve Kodak’s international operations.

The Chapter 11 filing had been rumored for weeks. Multiple directors have resigned from Kodak’s board and the company last week announced that it realigned and simplified its business structure in an effort to cut costs, create shareholder value and accelerate its long-drawn-out digital transformation. Since the start of the year, Kodak said it now has two business units commercial and consumer instead of three.

Previously, Kodak’s business segments were divided into its traditional film and photo paper products, consumer digital imaging and graphic communications, which included printing equipment. Home photo printers, commercial inkjet presses, workflow software and packaging are viewed as Kodak’s new core. Kodak has said it hopes the printer, software and packaging businesses will more than double in size by 2013 and account by then for 25 percent of its revenue, or nearly $2 billion.

Kodak did not announce job cuts as part of the bankruptcy protection filing. The company’s payroll has plunged below 19,000 from 70,000 a decade ago.

Issa London Among Kate Middleton’s Favorite Fashion Designers

Already a fashion icon, the clothing of princess-to-be Kate Middleton is often analyzed. Whether the outfits are praised or criticized, it can easily be said that the clothing and styles worn by Middleton are some of the most sought after in the world.

In fact, after the release of Middleton and Prince William’s engagement photos, the blue Issa wrap dress she wore in some of the pictures quickly sold out in stores not a cheap buy, at about 395, or $535, according to the Daily Mail. Before long, a more inexpensive version of the dress was produced, the imitation selling for only 16.

Whatever the cost, the royal blue Jersey wrap dress worn by Middleton for the photos likely will become a piece of fashion history. Created by Brazilian fashion designer Daniella Helayel, the dress is just one of many in Helayel’s collections worn by Middleton.

The founder of Issa London, Helayel first gained her experience working as a buyer and consultant. Before long, she began showing the Issa label at London Fashion week,Replica Bape jeans, and within the first year, the first Issa collection was picked up by Daslu in Brazil. The second Issa collection was picked up by Maria Luisa in Paris, and by 2003, just three years after Helayel began promoting the label, the Issa brand could be found in Barney’s New York.

Today, the Issa label can be found in most upscale stores around the world, including Harrod’s, Neiman Marcus and Nordstrom.

Some time along the way, Issa gained a fan in Middleton, who has been wearing the label for at least five years. Issa is a favorite of Middleton, who can often be seen wearing the trademark silk, solid color dresses. Becoming a favorite of the future queen of England in such short time is not bad work for Helayel and the Issa brand, which is less than a decade old.

Helayel began her line because she could not find a dress to wear, according to her website.

“I wanted a dress that made me feel comfortable and glamorous at the same time, one that could take me anywhere, from work to play, from the bedroom to the boardroom” Helayel says on her site.

Perhaps Middleton is a fan of the dresses for many of the same reasons as other well-to-do women around the world: The timeless pieces are feminine, yet realistic and functional. The solid colors, fun prints and flowing fabric helps to hide imperfections while often helping the person wearing the dress to look or at least feel sexy and sophisticated.

Constellation Brands’ profit slumps in 3Q

ROCHESTER, N.Y. Constellation Brands Inc. said Thursday its third-quarter profit slumped 25 percent on weaker wine and beer sales in North America, price hikes that hurt sales of two popular wine brands and stepped-up promotional costs.

The results narrowly missed Wall Street estimates. Its shares fell 71 cents, or 3.5 percent, to close at $19.73 Thursday.

The world’s No. 2 winemaker by volume said revenue dropped 27 percent to $700.7 million from $966.4 million largely because it sold the bulk of its Australian and British wine business a year ago.

Its wine and spirits sales in North America fell 4 percent, and beer sales dropped 12 percent. The drop in volume was driven largely by a year-over-year shift in inventory created by a distributor network consolidation it launched in September 2009.

In addition, price increases on its low-end Arbor Mist and Vendange wines hurt sales and cut into profits along with a spending bump to launch 20 new wines and other alcoholic beverages in 2012, the company said.

On a brighter note, Chief Executive Rob Sands pointed to a long-awaited industry uptick in wine sales in bars and restaurants in the quarter.

After a sharp drop in wine sales in 2009, volumes have rebounded over the last year as Americans take advantage of more discounts to trade up to higher-priced brands. The so-called “on-premise” category was especially hard-hit and the slowest to recover.

“We’re seeing the on-premise channel up for the first time in a long time … probably in the 1 to 2 percent range,” Sands said in a conference call with analysts.

“For us, we probably gained (market) share on a dollar perspective and lost share on a volume percentage because we significantly changed the mix of products we’re selling on-premise to more high-end, premium-plus products from the lower end.”

Constellation reported net income of $104.8 million, or 52 cents per share, in the September-to-November quarter, down from $139.3 million, or 65 cents, a year earlier.

Excluding one-time items, Constellation earned 50 cents per share. Wall Street expected 53 cents per share, according to a survey by FactSet.

Its wine brands include Robert Mondavi, Clos du Bois, Ravenswood and Ruffino. Through its Crown Imports wholesale business joint venture with Mexican brewer Grupo Modelo SA, it also imports moderately priced beers such as Corona Extra, Tsingtao and St. Pauli Girl.

Based in Victor, N.Y., Constellation said it remains on track to meet its full-year profit goal. In October, it raised its comparable-basis guidance to a range of $2 to $2.10 per share. Analysts expect $2.06 a share and typically exclude one-time items from the estimates.

Constellation has been pruning methodically for five years to solidify its supremacy in higher-margin wines priced from $5 to $20 a bottle and revive profits and revenue in a choppy economy.

A family business with post-World War II roots in the Finger Lakes grape-and-wine country in western New York, Constellation jumped into California’s coveted wine market by netting Franciscan in 1999, Ravenswood in 2001 and Robert Mondavi Corp. in 2004.

Its 21 acquisitions over 21 years ran through 2007 when it bought Fortune Brands’ U.S. wine business, maker of Wild Horse and Clos Du Bois. Then came the cost-cutting.

It divested Almaden,wholesale Burberry Cheap, Inglenook and other low-priced wines that generally sell for less than $5 a bottle, paring its 300 brands to 100. It has slashed its debt to below $3 billion from $5.3 billion and shrunk its payroll to 4,300 from 9,400.

Last January, Constellation lost its eight-year status as the world’s No. 1 winemaker when it offloaded 80 percent of a once-promising Australian wine business that had gone awry.

It dropped back to No. 2 in the vintner-by-volume rankings behind longtime leader E. & J. Gallo of Modesto, Calif. But it remains the world’s biggest premium-category winemaker with an estimated 17 percent share of that segment in the United States, ahead of rivals that include Gallo, Treasury Wine Estates, Kendall-Jackson and Diageo.

China mulls plans to boost domestic consumption report

SHANGHAI (Reuters) The Chinese government is planning new policies to boost domestic consumption, especially of vehicles and appliances, in a bid to offset the effects of sagging export demand, the China Daily reported on Wednesday, quoting a government official.

With tax rebates on vehicles and domestic appliances either having expired or due to expire, the government is working on new measures, said Huang Hai, former assistant minister of commerce and a member of the economic and trade policy consulting committee linked to the Ministry of Commerce.

These may include subsidies for families living in affordable housing that buy electrical appliances and for consumers planning to change cars, the paper said.

The daily also quoted a Ministry of Commerce spokesman as saying that the ministry was considering new programs to expand consumption, with details to be announced next week.

Huang also said over 10 government agencies,Replica Bape jeans, including the Ministry of Commerce, the National Development and Reform Commission and the Ministry of Finance, are expected to cooperate and propose concrete plans to boost consumption at a meeting slated for April.

China’s exports have steadily fallen over the past few months on the back of economic woes in the European Union. Exports in November expanded 13.8 percent from a year ago, the most sluggish rate in more than two years.

Europe remains China’s single largest export market, but export growth to the continent slowed to just 5 percent in November from a year ago, the third straight month of single digit growth and the smallest expansion since February 2011.

Tepid PC sales weigh on Micron’s results

(Reuters) Micron Technology (MU.O) posted quarterly results below expectations and said weak prices for DRAM memory chips are making industry consolidation inevitable.

The top U.S. memory manufacturer’s poor showing lent weight to recent warnings from both Intel (INTC.O) and Texas Instruments (TXN.N) about weak chip market conditions, and came after Oracle’s first earnings miss in a decade stoked fears that corporate America may be pulling back on tech spending.

Given that the reports from Micron and Oracle were for the quarter that ended in November, they may signal what to expect when more technology companies report after their quarters end in December.

Growth in sales of PCs, which use DRAM chips made by Micron, has slowed in recent quarters as European and U.S. consumers worried about a tough economy hold off on large purchases. Many consumers are also choosing tablets like Apple’s (AAPL.O) iPad instead of laptops.

That has helped drive prices for DRAM lower throughout 2011 although some analysts speculate prices are stabilizing.

“These price levels are below costs and some of the weaker players are cutting capacity,” said Kevin Cassidy, an analyst at Stifel Nicolaus.

Chief Executive Steve Appleton told analysts on a conference call that a slowdown in PC production caused by a shortage of hard drives has led a temporary drop in DRAM demand of 10 percent to 15 percent.

But the shortage has helped Micron’s NAND business, executives on the call said, as PC manufacturers substitute solid state drives for scarce hard drives.

Solid-state drives, which are made with NAND chips,wholesale Ed hardy shoes, are faster than traditional hard drives but are much more expensive and are typically used in high-end laptops like Apple’s MacBook Air.

Lower-than-cost prices in the DRAM market over the past year have sapped chipmakers’ cash, and many investors expect smaller players to be acquired by market leaders Micron, Hynix Semiconductor Inc (000660.KS), Elpida (6665.T) or Samsung Electronics Co (005930.KS) - or to drop out of the industry.

“A number of those companies continue to weaken and as they do … they’re going to figure out what they’re going to do, so I think that will drive some further consolidation, I think that’s inevitable,” Appleton said.

He wouldn’t comment specifically on Boise, Idaho-based Micron’s M&A strategy.

Micron said revenue from DRAM chips was flat in the first quarter compared to the previous quarter as volumes increased and prices fell.

Revenue from Micron’s NAND chips rose 6 percent, with higher volume thanks to growing sales of tablets and smartphones more than making up for lower prices.

Micron said revenue in its fiscal first quarter, ended December 1, was $2.09 billion, compared with $2.25 billion in the year-ago quarter. Analysts on average expected $2.13 billion, according to Thomson Reuters I/B/E/S.

Micron reported a net loss of $187 million, or 19 cents per share, in the quarter versus net income of $155 million, or 15 cents per share, in the same quarter last year. Analysts on average expected a loss of about 8 cents.

Shares of Micron fell 1.3 percent in extended trade after closing 4.3 percent lower at $5.54.

There was speculation for years about whether Prince William would finally pop the question to his longtime girlfriend Kate Middleton, and on Nov. 16, Clarence House made the announcement that there was going to be a royal wedding. As soon as details of the engagement became public with William and Kate giving an interview, the Internet became slammed with searches for Kate Middleton and her fashion. Princess Diana was also a fashion icon, but she didn’t ever have the effect that Kate Middleton has had on the fashion world in such a short time. LOS ANGELES British actor-comedian Russell Brand is divorcing “California Gurls” songstress Katy Perry after 14 months of what had appeared to be one of Hollywood’s happier marriages.

“Sadly, Katy and I are ending our marriage,” Brand said in a statement to The Associated Press on Friday. “I’ll always adore her and I know we’ll remain friends.”

Brand,Cheap Ralph Lauren Kids, 36, offered no other details, but in papers filed Friday in Los Angeles Superior Court, he cited irreconcilable differences.

He and the 27-year-old pop singer were married in October 2010 at a resort inside a tiger reserve in India, and their mutual affection had become a rather sweet feature of the celebrity circuit.

The couple announced their engagement in January 2010 after meeting at the 2009 MTV Video Music Awards, where Brand hosted and she performed.

The comedian, who once struggled with substance abuse and sex addiction, was effusive about his bride while promoting projects earlier this year, saying marrying Perry has “given me much more strength in what I do.”

“For a long while, what I do professionally was all that mattered to me really,” he said in March. “Now I think, well, whatever I do, I’ll just go back to her, and that’s incredibly comforting.”

Perry praised her husband backstage at the 2011 VMAs in August, where she won three awards and he offered a tribute to Amy Winehouse.

“I’m proud of him, whatever comes out of his mouth, and sometimes it’s very colorful, right?” Perry said of Brand. “That’s why I married him, because he’s smart and I learn a lot.”

Attorneys for Perry, whose name is listed as Katheryn Elizabeth Hudson in the divorce papers, did not respond Friday to calls seeking comment.

The Internet had been abuzz recently with rumors about possible trouble for the couple after they were seen during the holidays without their wedding rings.

Perry’s run of No. 1 singles earned her the distinction of becoming MTV’s first artist of the year earlier this month. She hosted “Saturday Night Live” on Dec. 10 and gave no indication any marital woes.

Brand’s recent film credits include “Arthur,” “Hop” and “Get Him to the Greek.” He is among the ensemble starring alongside Tom Cruise in “Rock of Ages,” set for release next year.

Both Brand and Perry were absent Friday from Twitter, where they often shared kind words for each other.
